This document applies to xprotecpro.com and the XPROTEC B2B dealer portal. It may be updated as our services, commercial processes, or legal requirements evolve.
1. Scope and Acceptance
These Terms of Service govern use of xprotecpro.com, the XPROTEC product website, B2B dealer portal, dealer-account functions, price displays, quotation tools, proforma tools, price offers, catalogues, datasheets, and related services provided by XPROTEC OOD.
By using the website or an approved account, you confirm that you have read and accepted these Terms and that you are authorised to act for the company you represent.
2. Business-to-Business Service
The platform is intended for professional and business customers. It is not a direct consumer-retail checkout. Product selections, proforma lists, quotation requests, and submitted quantities are requests for commercial review and do not by themselves create a binding purchase contract.
3. Account Applications and Approval
Access to customer-specific prices, stock indicators, logistics information, and commercial tools may require an approved account. Registration does not guarantee approval. XPROTEC may verify information, request supporting documents, approve or reject an application, assign or change an account level, restrict access, suspend, or terminate an account.
Users must provide accurate, current, and complete company and contact information.
4. Account Levels and Customer-Specific Pricing
Approved accounts may be assigned as Small Dealer, Dealer, Distributor, or Key Account. Prices may differ by account level, country, product, quantity, commercial agreement, market conditions, freight requirements, taxes, or duties.
Displayed prices are generally in euros unless otherwise indicated. A blank or “Price Pending” value requires manual confirmation and must not be treated as a zero price.
5. Account Security
Users are responsible for protecting their login credentials, restricting access to authorised company personnel, and notifying XPROTEC promptly of suspected unauthorised use. Activity performed through an account may be treated as authorised activity of the registered company unless XPROTEC has been informed otherwise.
6. Product Information
We seek to provide accurate product descriptions, images, technical specifications, standards, stock indicators, packing information, and documents. Product appearance, packaging, specifications, availability, and documentation may change. Images may be illustrative, and minor typographical or technical errors may occur.
Customers must confirm any specification that is critical to their application before placing a final order.
7. Minimum Order Quantities and Carton Multiples
Products are supplied in wholesale quantities. The minimum order quantity and order multiple shown for the relevant product or commercial document apply. Current standard commercial multiples may include:
- XP150-GCAF: 100 pieces and multiples of 100.
- XP100-GCAF: 200 pieces and multiples of 200.
- Other listed eyewear products: generally 300 pieces and multiples of 300.
Product-specific or contract-specific terms may replace these general quantities.
8. Quotations, Proformas, and Price Offers
A quotation, price offer, or proforma is based on the information available at the time of preparation. Unless expressly stated otherwise, it is not a final order confirmation and may remain subject to availability, final quantities, freight, taxes, duties, payment terms, validity, and written approval.
9. Formation of a Binding Order
A binding order is formed only when XPROTEC issues a written order confirmation or otherwise expressly accepts the order, all required commercial conditions are agreed, and any required advance payment, deposit, credit approval, or payment security has been received or confirmed.
XPROTEC may reject, amend, or request clarification of any submitted request before acceptance.
10. Prices, Taxes, Duties, and Additional Costs
Unless expressly included, displayed or quoted prices may exclude VAT, customs duties, freight, insurance, bank charges, currency-conversion costs, destination fees, and local regulatory charges. The applicable commercial document will identify the agreed inclusions and exclusions.
11. Stock and Availability
Indicators such as “Available”, “Low Stock”, or similar wording are informative and may change. They do not reserve stock. Reservation occurs only after written acceptance and satisfaction of the applicable commercial conditions.
12. Payment
Payment terms are stated in the applicable quotation, proforma, order confirmation, or separate agreement. XPROTEC may require advance payment, a deposit, bank transfer, letter of credit, credit approval, or another agreed form of payment security.
Unless agreed otherwise, the customer bears its own banking and currency-conversion charges.
13. Delivery, Freight, and Incoterms
Delivery method, destination, freight, insurance, Incoterm, dispatch date, and estimated delivery schedule will be confirmed in the applicable commercial document. Estimated dates are not guaranteed unless expressly agreed in writing.
Risk and title transfer in accordance with the agreed Incoterm or sales contract. Delays may arise from production, supplier availability, carriers, customs, regulation, force majeure, or other circumstances outside XPROTEC’s reasonable control.
14. Inspection, Claims, and Returns
Customers must inspect deliveries promptly and notify XPROTEC within a reasonable period of missing quantities, transport damage, incorrect products, visible defects, or document discrepancies. Claims should include sufficient evidence and shipment details.
Products may not be returned without prior written authorisation. Return, cancellation, warranty, and claim conditions may vary by product and commercial agreement.
15. Confidentiality of Dealer Information
Customer-specific prices, account levels, commercial terms, quotations, and portal content are confidential business information. Users must not publish, distribute, scrape, resell, or disclose this information to unauthorised parties without written permission.
16. Intellectual Property
XPROTEC trademarks, logos, product images, catalogues, datasheets, text, graphics, layouts, and documents are owned by or licensed to XPROTEC and are protected by applicable intellectual-property law.
Approved dealers may use authorised brand material only for the agreed business purpose and in accordance with applicable brand guidance. No broader licence is granted.
17. Acceptable Use
Users must not attempt unauthorised access, interfere with service security, submit malicious code, misuse another company’s account, provide false information, automate unauthorised data collection, or use the website for unlawful or fraudulent activity.
18. Suspension and Termination
XPROTEC may suspend or terminate access where information is false or misleading, payment obligations are not met, confidential pricing is misused, account security is threatened, these Terms are violated, or the commercial relationship ends.
Records may be retained after termination where required for legal, accounting, tax, security, or dispute-resolution purposes.
19. Service Availability and Liability
We seek to keep the website and dealer portal available, but uninterrupted or error-free access is not guaranteed. Access may be interrupted for maintenance, service changes, communication failures, security measures, or circumstances outside our reasonable control.
To the maximum extent permitted by law, XPROTEC is not liable for indirect, incidental, special, or consequential loss arising from provisional information, service interruption, unauthorised account use, delayed communication, or third-party services. Nothing in these Terms excludes liability that cannot lawfully be excluded.
20. Governing Law and Disputes
These Terms are governed by the laws of the Republic of Bulgaria, subject to any mandatory law that applies. The parties should first attempt to resolve disputes through good-faith commercial discussions. Unresolved disputes may be submitted to the competent courts in Bulgaria, subject to mandatory jurisdiction rules.
21. Changes to These Terms
We may update these Terms to reflect changes in services, commercial practices, or legal requirements. The current version and revision date will be published on this page.
